Terms of Sale
These Terms of Sale apply to products purchased from the IronSights online store at store.ironsights.com.au. They are separate from our Terms of Service, which govern managed services and contracted work.

These summaries highlight important conditions that apply when purchasing from our Store. They do not replace the full Terms of Sale below.
Your order is an offer to purchase. A contract is formed when we accept your order.
Product availability is not guaranteed until your order has been accepted.
Prices are shown in Australian dollars. GST treatment will be displayed as applicable at checkout.
Delivery dates are estimates unless we expressly agree otherwise.
Change-of-mind returns are subject to our Returns, Refunds & Warranty Policy.
Your rights under the Australian Consumer Law are not excluded or limited by these Terms.
Some products, including security keys and authentication devices, may have specific compatibility, configuration and security requirements. You are responsible for checking that a product is suitable for your intended environment before ordering.
About these Terms
These Terms of Sale apply to purchases made through store.ironsights.com.au and any other online storefront operated by IronSights that expressly incorporates these Terms.
Each purchase is an agreement between:
IronSights Pty Ltd (ACN 673 117 961), referred to as IronSights, we, us or our; and
the person or organisation placing the Order, referred to as you or your.
By placing an Order, you confirm that you have read and agree to these Terms of Sale.
If you place an Order on behalf of a company, organisation or other entity, you warrant that you have authority to bind that entity.
Our Privacy Policy, Shipping Policy and Returns, Refunds & Warranty Policy should be read together with these Terms.
Relationship with our Terms of Service
These Terms of Sale primarily govern products purchased through our Store.
Our separate Terms of Service govern products and services supplied under an IronSights proposal, quotation, Statement of Work, Order or Service Schedule where those Terms of Service are incorporated into that agreement.
Purchasing a product through the Store does not include installation, configuration, deployment, technical support, managed services, consulting or other professional services unless the product description or your Order expressly states otherwise.
Where you separately engage IronSights to provide professional or managed services relating to a product, those services may be governed by our Terms of Service and a separate Order.
Orders
By submitting an Order, you make an offer to purchase the products identified in your Order for the price shown at checkout.
An automated order acknowledgement, payment authorisation or payment receipt does not necessarily constitute acceptance of your Order.
We accept your Order when we confirm acceptance or commence processing the Order for fulfilment.
We may decline or cancel an Order before acceptance where reasonably necessary, including where:
a product is unavailable;
there is an obvious pricing, description or inventory error;
we cannot verify or authorise payment;
information provided in the Order appears incorrect or incomplete;
we reasonably suspect fraud, unauthorised payment or unlawful activity;
supplying the product would breach Applicable Law or restrictions imposed by a manufacturer, distributor or supplier; or
we cannot reasonably deliver the Order to the nominated delivery address.
If we cancel an Order after receiving payment, we will refund the amount paid for the cancelled portion of the Order using the original payment method where reasonably practicable.
Product information
We take reasonable steps to ensure product descriptions, specifications, images and other information displayed on our Store are accurate.
Product photographs and images are illustrative. Packaging, labels, colour, accessories or minor physical characteristics may change between manufacturing batches.
Manufacturers may change product specifications without notice to us. Where a change materially affects a product you have ordered, we will take reasonable steps to notify you before supply where we become aware of the change.
You are responsible for reviewing the product description and determining whether the product is suitable for your intended use.
Nothing in this clause excludes any guarantee, representation or other right that cannot lawfully be excluded.
Security products and compatibility
Some products sold by IronSights are designed for identity, authentication, cyber security, privacy or access-control purposes.
These products may depend on compatible:
operating systems;
browsers;
applications;
hardware;
USB, NFC or other interfaces;
identity platforms;
third-party accounts;
subscriptions;
administrative configuration; or
security policies.
Before ordering, you should check the product specifications and relevant manufacturer documentation to confirm compatibility with your intended environment.
Unless we have expressly agreed to provide professional services, purchasing a product does not mean that IronSights has assessed or approved the product for your particular technical environment.
We are not responsible for incompatibility arising solely because your environment does not satisfy clearly disclosed product or manufacturer requirements, subject always to your rights under Applicable Law.
Third-party products
Many products sold through our Store are manufactured or supplied by third parties.
Intellectual Property Rights in third-party products, firmware, software, documentation and trademarks remain with their respective owners.
Your use of a third-party product may also be subject to licence terms, acceptable-use terms, privacy terms or other conditions imposed by the manufacturer or relevant technology provider.
Where manufacturer warranties apply, we may assist you in accessing those warranties where appropriate.
A manufacturer's warranty operates in addition to any rights you may have against IronSights under the Australian Consumer Law.
Prices and GST
All prices are in Australian dollars unless expressly stated otherwise.
The applicable GST treatment will be displayed at or before checkout.
Delivery charges and any other applicable charges will be disclosed at or before checkout.
We may change Store prices at any time. A price change will not affect an Order we have already accepted.
If a product is displayed at an obviously incorrect price due to a typographical, technical, supplier or other error, we may decline the Order before acceptance.
If we discover a material pricing error after accepting an Order, we will contact you and provide any rights or remedies required under Applicable Law.
Payment
You must pay the total amount displayed at checkout using one of the payment methods offered by the Store.
By submitting payment details, you warrant that you are authorised to use the selected payment method.
Payments may be processed by a third-party payment provider.
Your use of a third-party payment method may also be subject to that provider's terms.
We do not have to dispatch an Order until payment has been successfully received or otherwise approved by us.
Fraud and order verification
We may undertake reasonable verification procedures to protect you and IronSights from fraudulent or unauthorised transactions.
We may contact you to verify an Order.
We may delay fulfilment while reasonable verification takes place.
We may decline an Order where we reasonably believe that fulfilling it would expose you, IronSights or another person to fraud, unlawful activity or an unacceptable payment-security risk.
Availability and backorders
Products are subject to availability.
An indication that a product is in stock does not guarantee availability until your Order is accepted.
If we cannot supply a product, we may:
cancel the affected product and provide a refund;
offer you an alternative product, which you are free to decline; or
with your agreement, place the product on backorder.
We will not substitute a materially different product without your agreement.
Delivery
Delivery is governed by our Shipping Policy.
Available delivery methods and charges will be displayed at checkout where applicable.
Any dispatch or delivery timeframe displayed by us is an estimate unless expressly stated otherwise.
We may use third-party carriers and fulfilment providers.
You must provide a complete and accurate delivery address.
You must notify us as soon as possible if you identify an error in your delivery details.
Once an Order has entered fulfilment or been dispatched, we may be unable to change its delivery address.
Nothing in this clause limits rights you may have under the Australian Consumer Law concerning delivery within an agreed or reasonable period.
Title and risk
Title to a product passes to you once we have received payment in full for that product.
Risk in products passes in accordance with Applicable Law and the applicable delivery arrangements.
Nothing in this clause limits any responsibility that IronSights has for goods lost or damaged before delivery where that responsibility cannot lawfully be excluded.
Order cancellation
If you wish to cancel an Order, contact us as soon as possible.
We will attempt to accommodate a cancellation request where the Order has not entered fulfilment.
We cannot guarantee that an Order can be cancelled once picking, packing, supplier fulfilment or dispatch has commenced.
If an Order has already been dispatched, any return will be considered under our Returns, Refunds & Warranty Policy.
This clause does not limit any cancellation right available under Applicable Law.
Returns and refunds
Returns, refunds, exchanges and warranty claims are governed by our Returns, Refunds & Warranty Policy and the Australian Consumer Law.
Any voluntary change-of-mind return offered by IronSights is additional to your rights under the Australian Consumer Law.
Conditions applying to change-of-mind returns do not restrict your rights where a product fails to comply with a consumer guarantee.
Consumer guarantees
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law where that law applies.
Depending on the circumstances, you may be entitled to a repair, replacement, refund, compensation or another remedy where goods fail to comply with an applicable consumer guarantee.
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.
Manufacturer warranties
A product may include a manufacturer's voluntary warranty.
Manufacturer warranties are separate from rights available under the Australian Consumer Law.
A manufacturer's warranty expiring does not necessarily mean that your rights under the Australian Consumer Law have expired.
Where appropriate, we may ask you for information reasonably required to assess or process a warranty claim, such as:
proof of purchase;
product serial number;
photographs;
a description of the fault;
troubleshooting information; or
the affected product.
Your responsibilities
You must not purchase or use products supplied by us for an unlawful purpose.
You are responsible for following applicable manufacturer instructions and safety requirements.
For authentication and security products, you are responsible for maintaining appropriate backup access and recovery methods.
You should not rely on a single authentication device as your sole means of accessing a critical system unless you have an appropriate recovery process.
You are responsible for securely storing PINs, recovery codes, backup credentials and other authentication information.
Limitation of liability
Nothing in these Terms excludes, restricts or modifies liability or rights that cannot lawfully be excluded, restricted or modified.
To the maximum extent permitted by Applicable Law, we are not liable for indirect or consequential loss arising from your purchase or use of a product where that loss is not reasonably attributable to a breach by us.
We are not responsible for loss caused by:
misuse of a product;
failure to follow manufacturer instructions;
unauthorised modification;
use outside stated product specifications;
loss or disclosure of credentials, PINs or recovery information for which you are responsible; or
a third-party system or service outside our reasonable control,
except to the extent the loss was caused or contributed to by our breach, negligence or other liability that cannot lawfully be excluded.
Where liability for breach of a consumer guarantee may lawfully be limited, our liability is limited only to the extent permitted by the Australian Consumer Law.
Privacy and security
We handle Personal Information in accordance with our Privacy Policy and Applicable Law.
We may provide information reasonably required to fulfil an Order to payment providers, carriers, distributors, manufacturers and other providers involved in processing or fulfilling the transaction.
Payment information may be processed directly by our payment provider and may not be stored by IronSights.
Intellectual Property Rights
All Intellectual Property Rights in the IronSights Store, including its original text, graphics, software, branding and design, remain owned by IronSights or our licensors.
Nothing in a purchase transfers ownership of IronSights Intellectual Property Rights to you.
Product names, trademarks and other Intellectual Property Rights belonging to manufacturers and third parties remain the property of their respective owners.
Changes to these Terms
We may update these Terms from time to time.
The Terms applying to an Order are those presented or made available to you when you submit that Order, unless a change is required by Applicable Law.
Updated Terms apply to subsequent Orders.
Disputes
If you have a concern about an Order, you should contact us so that we can attempt to resolve it.
Nothing in these Terms prevents you from exercising any right to contact a regulator, consumer protection body or court or tribunal where available to you.
General
If any provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
A failure by us to exercise a right does not constitute a waiver of that right.
These Terms and the policies incorporated into them constitute the agreement relating to a Store purchase, subject to any rights that cannot lawfully be excluded.
These Terms are governed by the laws of New South Wales, Australia.
You and IronSights submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from those courts.
Nothing in clause 23.5 limits any right you have to bring proceedings in another jurisdiction where Applicable Law permits you to do so.
Definitions
Applicable Law means any law applicable to an Order, including the Australian Consumer Law.
Australian Consumer Law or ACL means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
Business Day means Monday to Friday excluding public holidays in New South Wales.
GST has the meaning given under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
Intellectual Property Rights includes copyright, trademarks, patents, designs and other intellectual property rights, whether registered or unregistered.
Order means an order submitted through the Store.
Personal Information has the meaning given under the Privacy Act 1988 (Cth).
Store means the IronSights online store at store.ironsights.com.au and any replacement or additional IronSights online storefront that incorporates these Terms.
We, IronSights, our and us mean IronSights Pty Ltd (ACN 673 117 961).
You and your mean the person or entity purchasing or attempting to purchase products from the Store.
